Overages

This page outlines the process for managing and billing overages for customers of Qualtrics using a consumption-based pricing model. This is designed to ensure clarity, consistency, and fairness in the handling of overage charges.

All capitalized terms not defined herein have the meanings given to them in the governing terms agreed between Qualtrics and Customer. 

1. What is an Overage?

When Customer exceeds its purchased Usage Metric volumes outlined in the Order Form, any use above those volumes are considered "overages" and are subject to specific billing procedures.

2. Overage Pricing

The price for overage consumption on a per-unit basis is listed in the individual Order Form agreed between Qualtrics and Customer. For each subsequent year after the initial term, the overage price will increase in accordance with the renewal uplift applied to the underlying Cloud Service, as set out in the Order Form. 

3. Overage Billing Cycle

Overage charges will be billed monthly in arrears at the end of each calendar month. 

4. Overage Calculation and Invoicing Process

The following steps outline the overage calculation and invoicing process:

  1. Usage Monitoring: The Cloud Service continuously monitors Customer’s consumption against its contracted limits. Qualtrics will provide Customer with functionality that allows Customer to monitor its own use within the Cloud Service and can view its current consumption against its contracted limits.
  2. Overage Identification: At the end of each monthly billing cycle, Qualtrics systematically identifies any consumption that exceeds the limits defined in Customer's Order Form.
  3. Overage Calculation: The identified overage quantity is multiplied by the overage price specified in the Order Form to determine the total overage charge.
  4. Invoice Generation: The overage invoice will detail the consumption period, the overage quantity, the overage price, and the total invoiced amount for such overage.
  5. Invoice Delivery: Overage invoices will be delivered to Customer via email.
  6. Payment Terms: Customer will pay any overage charges amounts according to the payment terms set forth in the Order Form.
